4. Agents, Publishers & Referral Codes
- iPromind may assign referral codes to agents/publishers for campaign execution. Each code is unique and must be used strictly as authorized in writing by iPromind.
- No Sub-Assignment: Agents/publishers are strictly prohibited from assigning, sublicensing, transferring, or permitting any third party to use iPromind referral codes without prior written authorization from iPromind.
- Responsibility: Agents/publishers are solely responsible for the acts and omissions of their personnel and any party they engage, and must ensure full compliance with these Terms and applicable laws.
- Code Control: iPromind may at any time suspend, block, or terminate any referral code (including without limitation in cases of suspected misuse, fraud, or non-compliance).
5. Third-Party Non-Association & Fraud
- iPromind has no association with any entity or person unless expressly authorized in writing. Use of iPromind referral codes by any unauthorized third party is strictly prohibited.
- In cases of suspected or reported fraud, including mass account openings, impersonation, or false employment claims, iPromind may immediately block codes, pause campaigns, withhold payments, and notify partners and authorities as appropriate.
- Users/agents must promptly notify iPromind of any suspected misuse or security incident.
6. KYC, Verification & Compliance
- Agents/publishers must provide accurate and verifiable KYC information (e.g., Aadhaar/PAN or equivalent) and maintain up-to-date records upon request.
- iPromind may conduct checks and require supporting documentation for campaigns linked to any referral code.
- Failure to cooperate with verification may result in suspension or termination of access to the Services and codes.
7. Payments, Withholding & Chargebacks
- Payments (including campaign payouts) are subject to validation, partner approvals, anti-fraud checks, and these Terms.
- iPromind may withhold, adjust, set-off, or claw back payments in cases of suspected fraud, breach, policy violations, or partner chargebacks.
- Providing false, misleading, or unverifiable information may lead to forfeiture of payments and termination.
8. Cooperation with Investigations
- Upon request, you agree to cooperate with iPromind and its partners (e.g., banks/fintechs) by providing timely clarifications, records, and communications related to campaigns, referral codes, and associated activities.
- iPromind may contact complainants and relevant parties using contact details shared by partners to understand and resolve incidents.
9. Prohibited Activities
- Creating or using fake entities, fake employment, bulk/forced sign-ups, misrepresentation, or incentivizing in violation of partner policies.
- Sharing or selling referral codes or allowing unapproved third-party execution.
- Any activity that violates law, partner terms, or these Terms.
10. Suspension & Termination
- iPromind may suspend or terminate access to the Site/Services or any referral code immediately for suspected fraud, security risks, non-compliance, or to comply with partner requests or legal obligations.
- Upon termination, your right to use the Services and any referral codes ceases immediately.
11. Disclaimer
- Information on the Site is provided for general purposes only and may not be complete, accurate, or up-to-date. Use at your own discretion.
12. Limitation of Liability
- To the maximum extent permitted by law, iPromind and its affiliates are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or use, arising from or related to the Site/Services.
- iPromind is not responsible for acts or omissions of agents, publishers, or any unauthorized third party using or claiming to use any referral code without iPromind’s written authorization.
13. Indemnity
You agree to indemnify, defend, and hold harmless iPromind, its directors, officers, employees, and partners from and against any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Site/Services; (b) your campaigns, referral code use, or any sub-assignment or third-party engagement; (c) breach of these Terms or applicable laws; or (d) fraud, misrepresentation, or misconduct by you or your personnel.
14. Changes to Terms
- We may update these Terms at any time without prior notice. The updated version will be effective upon posting on the Site.
- Your continued use of the Site/Services after changes constitutes acceptance of the revised Terms.
15. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of India. Courts at Kolkata, West Bengal, shall have exclusive jurisdiction, subject to any applicable mandatory arbitration or partner-mandated dispute processes, if specified separately in writing.
